But depending on the change being considered, the formalities differ and certain decisions must follow a precise framework. A company evolves over time. A move, a new activity, the arrival of a partner or the departure of a managing director can change the information officially recorded in the Commercial Register. In Geneva, for example, any change to the registered data must be reported as soon as possible. The procedure then depends on the company's legal form and the nature of the change. It may also concern the personal details of a registered person. This first step is essential, as it determines which decisions must be taken and which supporting documents must be prepared. ## When the articles of association must also be amended For an SA (company limited by shares) or a Sàrl, some changes directly affect the articles of association. This is the case in particular when the company changes its name, its purpose or the municipality of its registered office. The decision must then be taken by the competent body and the articles amended in accordance with the applicable rules. Depending on the change, a notary and a public deed are required. Conversely, some changes that do not affect the articles follow a simpler procedure. ## Updating the Commercial Register The change is notified to the Commercial Register by means of a dated and signed application. The file must contain the documents corresponding to the requested change. These may include minutes, the updated articles of association, a contract for the transfer of capital contributions, a letter accepting an appointment, an identity document or a certified signature. The documents required therefore vary from one situation to another. ## Considering the consequences beyond the Register A change does not always end with the official registration. You need to check the consequences with the social insurance bodies, the VAT authorities, insurers, banks, contractual partners and the authorities that issued any permits. For some changes of name or address, the data is automatically transmitted from the Commercial Register to the Federal Tax Administration, but this mechanism does not cover every formality.
